PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS-ACTION WAIVER (SECTION 16) THAT AFFECT YOUR LEGAL RIGHTS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED BELOW.

1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and [LEGAL ENTITY NAME], a [ENTITY TYPE] formed in [FORMATION STATE] ("Vossaire," "we," "us," or "our"), governing your access to and use of vossaire.com (the "Site") and your purchase of the Vossaire Mini and any other products we offer (the "Products"). By accessing the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site or purchase our Products.

2. Eligibility

You must be at least 18 years of age and able to form a binding contract to use the Site and purchase Products. By using the Site, you represent and warrant that you are 18 or older and that the information you provide is accurate. Our Products are sold and shipped within the United States only.

3. Orders and Acceptance

Your submission of an order is an offer to purchase Products. All orders are subject to acceptance by us, and we are not obligated to accept any order. An order confirmation email acknowledges receipt of your order; it does not constitute acceptance. A binding contract is formed only when we ship the Products to you.

We reserve the right, at our sole discretion, to refuse, limit, cancel, or reject any order for any lawful reason, including suspected fraud, limits on quantities purchased per person or per order, errors in pricing or product information, or inventory limitations. If we cancel an order after you have been charged, we will issue a refund for the affected items.

4. Pricing, Introductory Pricing, and Pricing Errors

All prices are stated in U.S. dollars and are exclusive of taxes and shipping unless otherwise noted. We may change prices at any time.

Introductory pricing. We may offer introductory, promotional, or limited-time pricing on the Vossaire Mini or other Products. Introductory pricing is available only for the stated period or while supplies last, may be subject to conditions, and may revert to standard pricing without further notice.

Pricing errors. Despite our efforts, Products may occasionally be mispriced. If a Product's correct price is higher than the price shown, we may, at our discretion, contact you for instructions before shipping, cancel the order, or correct the price. We reserve the right to correct any pricing errors and to cancel any order placed at an incorrect price, even after an order has been confirmed, and to refund any amount charged.

5. Payment, Card Processing, and Installments (BNPL)

You agree to pay all charges for your order, including Product prices, applicable taxes, and shipping fees. By providing payment information, you represent that you are authorized to use the payment method.

  • Card payments are processed by our third-party payment processor, [PAYMENT PROCESSOR].
  • Buy-now-pay-later (BNPL) / installment payments may be offered through [BNPL PROVIDERS]. If you choose an installment option, your payments are governed by a separate agreement between you and the applicable BNPL provider, and their terms, eligibility criteria, and fees apply. We are not a party to that agreement and are not responsible for the BNPL provider's decisions, terms, or services.
  • We do not store full payment card numbers; card data is handled by our processor in accordance with applicable payment-card security standards.

6. Shipping, Returns, and Refunds

Shipping timelines, costs, returns, exchanges, and refunds are governed by our Shipping Policy and Returns & Refund Policy, which are posted on the Site and incorporated into these Terms by reference. Please review those policies before purchasing. To the extent of any conflict between those policies and these Terms regarding shipping or returns, the applicable policy controls for that subject.

7. Cosmetic Device Disclaimer

The Vossaire Mini is a cosmetic device intended to improve the appearance of skin. It is NOT a medical device and has NOT been evaluated or cleared by the U.S. Food and Drug Administration (FDA).

The Vossaire Mini and any related content are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition, and are not a substitute for professional medical advice, diagnosis, or treatment. Any statements about the Product relate to cosmetic, appearance-only benefits.

You should follow all instructions and safety warnings provided with the Product. The Vossaire Mini may not be suitable for everyone. Consult a qualified healthcare professional before use if you are pregnant or nursing, have a pacemaker or other implanted or electronic medical device, have a skin condition or sensitivity, or have any medical concern. Discontinue use and seek medical advice if you experience irritation or an adverse reaction. Use of the Product is at your own risk. See our Cosmetic & Safety guidance for full safety information.

8. User Reviews and Submitted Content

If you submit reviews, photos, comments, or other content ("User Content"), you retain ownership of it, but you grant Vossaire a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute the User Content in connection with the Products and our marketing and advertising, in any media. You may ask us to stop using your User Content going forward by emailing care@vossaire.com; we will do so within a reasonable time, though this will not affect uses already made in good faith before your request (for example, printed materials or ads already distributed).

Honest-review terms. You agree that any review you submit reflects your honest, genuine experience and opinions. You must disclose any material connection to us (for example, if you received the Product for free or at a discount, or received other compensation, in exchange for a review). You will not submit false, misleading, fake, or incentivized reviews presented as unbiased, and you will not post content that is unlawful, infringing, defamatory, obscene, or that violates any third party's rights. We may edit, refuse to post, or remove User Content at our discretion, but we are not obligated to monitor it. You are solely responsible for your User Content and represent that you have all rights necessary to grant the license above.

9. Intellectual Property

The Site and all content on it — including the Vossaire and Vossaire Mini names, logos, text, graphics, images, product designs, and software — are owned by or licensed to us and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit any part of the Site or its content without our prior written permission. All trademarks not owned by us are the property of their respective owners.

10. Prohibited Uses

You agree not to:

  • Use the Site or Products for any unlawful, fraudulent, or unauthorized purpose;
  • Violate any applicable law or regulation;
  • Resell, or purchase for the purpose of reselling, our Products without our authorization;
  • Attempt to gain unauthorized access to the Site, other accounts, or our systems;
  • Introduce viruses, malware, or other harmful code, or interfere with the operation of the Site;
  • Use any automated means (bots, scrapers, crawlers) to access or collect data from the Site without our permission;
  • Infringe our or any third party's intellectual property or other rights; or
  • Impersonate any person or misrepresent your affiliation with any person or entity.

We may suspend or terminate your access to the Site for any violation of these Terms.

11. Disclaimer of Warranties

The Site and Products are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components. We make no warranty that the Products will meet your expectations or achieve any particular cosmetic result. Any warranty that cannot be disclaimed under applicable law is limited to the shortest period permitted by law. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you. This Section does not affect the separate limited warranty described in our Returns & Refund Policy, and nothing in these Terms waives or limits any non-waivable rights or remedies you may have under applicable law, including the California Song-Beverly Consumer Warranty Act, the California Consumers Legal Remedies Act (Civ. Code § 1750 et seq.), and the California Unfair Competition Law (Bus. & Prof. Code § 17200).

12. Limitation of Liability

To the fullest extent permitted by law, in no event will Vossaire or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Site or Products, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms, the Site, or the Products will not exceed the greater of (a) the amount you paid to us for the product giving rise to the claim in the 12 months before the event, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits or excludes liability for personal injury, death, or product liability caused by the Products, for gross negligence, or for fraud or fraudulent misrepresentation, and nothing limits any other liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vossaire and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Products; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) your User Content.

14. Third-Party Services and Links

The Site may include links to, or integrations with, third-party services (such as advertising platforms, our payment processor, and BNPL providers). We do not control and are not responsible for those third parties or their content, products, or practices. Your dealings with third parties are solely between you and them.

15. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Products are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration provision in Section 16, you agree that any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in [COUNTY], California, and you consent to personal jurisdiction and venue there.

16. Binding Arbitration and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

a. Agreement to Arbitrate. Except as provided below, you and Vossaire agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Products will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The Federal Arbitration Act governs the interpretation and enforcement of this provision.

b. Delegation. The arbitrator, and not any federal, state, or local court, has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration provision, including any claim that all or part of it is void or voidable, and including whether a claim is subject to arbitration. This delegation is intended to be clear and unmistakable.

c. Arbitration Provider & Procedure. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. If the AAA is unavailable or unwilling to administer the arbitration consistent with this provision, the parties will select another established arbitration provider or, failing agreement, a court will appoint one. The arbitration will take place in the county of your residence or another mutually agreed location, or be conducted by telephone or video where permitted. The arbitrator's decision will be final and binding.

d. Arbitration Fees. Vossaire will pay all AAA filing, administrative, and arbitrator fees for any arbitration you commence, to the extent those fees exceed what it would cost you to file the same claim in court, as provided by the AAA Consumer Arbitration Rules. Each party is otherwise responsible for its own attorneys' fees, except that the arbitrator may award fees and costs to the prevailing party where authorized by law, or against a party for a claim or defense the arbitrator finds frivolous or brought for an improper purpose.

e. Class-Action Waiver. You and Vossaire agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

f. Public Injunctive Relief (California). Notwithstanding the class-action waiver, the parties agree that any claim for public injunctive relief — that is, relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the general public — is severed from arbitration and may be brought in court (consistent with California's McGill rule). All other claims remain subject to arbitration and are stayed pending resolution of the public-injunctive-relief claim.

g. Batching / Coordinated Filings. If 25 or more similar arbitration demands are filed against Vossaire by or with the assistance of the same or coordinated counsel, the parties agree the demands will be administered in batches of no more than 50, with a single set of filing fees per batch and a single arbitrator per batch, resolved as bellwether proceedings before further demands proceed, to promote efficiency. This paragraph does not waive any party's right to individual arbitration.

h. 30-Day Right to Opt Out. You may opt out of this arbitration and class-action waiver provision by sending written notice to [PRIVACY EMAIL] or by mail to [LEGAL ENTITY NAME], [BUSINESS ADDRESS, CITY, CA ZIP], within 30 days of the date you first accept these Terms. Your notice must include your name, address, email, and a clear statement that you wish to opt out of arbitration; no specific format is required so long as your intent is clear. We will confirm receipt. If you opt out, disputes will be resolved in court under Section 15. Opting out will not affect any other part of these Terms.

i. Exceptions. This Section does not prevent either party from seeking injunctive or equitable relief for intellectual-property infringement or unauthorized access to the Site.

j. Severability / Non-Severability of Class Waiver. If the public injunctive relief carve-out in paragraph (f) is unenforceable, that claim (and only that claim) will be severed and brought in court while the rest of this Section remains in effect. However, if the class-action waiver in paragraph (e) is found unenforceable as to a claim seeking class or representative relief, then the entire arbitration provision (Section 16) is null and void as to that claim, which will proceed in court under Section 15; the arbitration provision otherwise remains in effect. If any other portion of this Section is unenforceable, it will be severed and the remainder enforced.

17. California Consumer Complaint Notice (Cal. Civ. Code § 1789.3)

California residents may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

18. Changes to These Terms

We may modify these Terms from time to time. For material changes, we will provide reasonable advance notice — for example, by posting a notice on the Site or emailing the address associated with your account — before the changes take effect, and we will update the "Last updated" date. Material changes apply prospectively only and will not apply retroactively to a dispute of which we have notice. Your continued use of the Site or purchase of Products after the changes take effect constitutes your acceptance of the revised Terms; if you do not agree, stop using the Site. Non-material changes are effective when posted. The Terms in effect at the time you place an order govern that order.

19. Additional Terms

Electronic Communications & Consent (E-SIGN). By using the Site or purchasing Products, you consent to receive communications from us electronically — including order confirmations, notices, policies, and other records — and you agree that electronic communications, agreements, and records satisfy any legal requirement that such communications be in writing. You may withdraw this consent by contacting care@vossaire.com, though doing so may affect your ability to use the Site or complete purchases.

SMS / Text Messages (if applicable). We will send recurring marketing text messages only to customers who have expressly opted in. Message and data rates may apply; reply STOP to unsubscribe or HELP for help. We will honor all opt-outs. [confirm] and add full SMS program terms (frequency, carrier disclaimer, privacy link) before launching any texting program, consistent with the Telephone Consumer Protection Act (TCPA).

Force Majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, labor disputes, carrier or supplier failures, utility or internet outages, or governmental action.

Copyright / DMCA Notice. If you believe User Content on the Site infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent at [PRIVACY EMAIL] (subject line: "DMCA Notice"), including the elements required by 17 U.S.C. § 512(c)(3). We may remove allegedly infringing content and terminate repeat infringers. [confirm registration of a DMCA agent with the U.S. Copyright Office before relying on safe-harbor protection.]

20. Miscellaneous

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Vossaire regarding the Site and Products. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Headings are for convenience only. Survival: the provisions of these Terms that by their nature should survive termination — including Sections 7–9 and 11–19 — will survive.
